Introduction

Welcome to FOS Social, a social media platform operated by Fos SM Ltd (company number 14956960), registered at 71–75 Shelton Street, London, England, WC2H 9JQ (“we,” “us,” “our”).

These Terms of Service (the “Terms”) form a binding contract between you, the user (“you,” “your”), and us. By creating an account, accessing, or using FOS Social—whether on the web at fos.social or via our apps—you agree to be legally bound by these Terms. If you do not agree, you must not use FOS Social.

Our platform is built to empower creators, reward audiences, and provide a community for self-expression. FOS Social is free to use and may display sponsor placements associated with specific creators. We do not sell generic ad inventory or run network ads across unrelated content. Sponsor placements appear only where a sponsor has directly engaged a creator, as described in Section 10A (Creator Sponsorship & Advertising). We do not sell your personal data to advertisers; any use of data for showing sponsor placements or platform promotions is governed by our Privacy Policy.

These Terms incorporate, by reference, the following additional documents (as applicable to your use): Privacy Policy; Cookie Policy; Community Guidelines; Subscription & Payment Policy; Referral & Rewards Policy; and any other policy listed on our Platform or website. Please read them carefully.

By using FOS Social, you represent that you meet our eligibility criteria (see Section 3) and that your content, conduct, and monetisation activities are subject to these Terms.

1. Definitions

In these Terms, unless the context requires otherwise:

  • “Account” means the personal profile you register to access and use the Platform.

  • “Content” means any text, image, audio, video, livestream, moment, story, or other material uploaded, transmitted, or displayed on the Platform.

  • “Creator” means a User who uploads Content for monetisation or public sharing.

  • “Exclusive Content” means Content that is contractually restricted to appear only on FOS Social.

  • “Monetised Content” means any Content offered for payment, subscription, or other reward.

  • “Picks Program,” “Referral Program,” and “Exclusive Content Program” mean the reward schemes offered by FOS Social, as further described in the respective policies incorporated into these Terms.

  • “Platform” means the FOS Social website (fossocial.com), the web app (fos.social), and all associated apps, services, and features.

  • “Premium” means the optional paid subscription tier that unlocks enhanced platform features.

  • “Premium+” means an upgraded subscription tier that offers additional monetisation benefits, such as higher Creator revenue share.

  • Sponsor” means a third party that directly engages a Creator to support or promote that Creator’s Content on the Platform.

  • Sponsorship” means an arrangement between a Sponsor and a Creator under which the Sponsor funds, supports, or promotes the Creator or specific Content.

  • Sponsor Placement” means any badge, label, panel, or message indicating a Sponsorship in connection with a Creator or their Content (e.g., “Sponsored by …”).

  • Sponsorship Revenue” means amounts paid or payable by a Sponsor in connection with a Sponsorship visible or fulfilled on the Platform.

  • Commission” means the Platform’s fee retained from Sponsorship Revenue for providing hosting, tooling, and placement services.

  • “Randoms” means promotional rewards or benefits that may be granted at random based on platform activity.

  • “Wallet Cash” means withdrawable funds earned from monetisation, which may be transferred out of the Platform subject to payout rules.

  • “Wallet Credits” means non-withdrawable balance issued as part of promotions, referrals, or other incentives, usable only for promotions, Randoms, or other non-cash platform features, and not for Picks.

  • “Sensitive Content” means Content classified by us as age-restricted, including nudity, sexual material, depictions of violence, strong language, or topics we deem potentially triggering.

  • “User” means any individual or entity accessing or using the Platform, including both Creators and viewers.

Other terms may be defined contextually within these Terms or related policies.

2. Contractual Relationship

2.1. These Terms constitute a binding legal agreement between you and Fos SM Ltd.
2.2. Additional policies form part of these Terms and are incorporated by reference. If there is a conflict between a policy and these Terms, the Terms control, unless a policy expressly states otherwise.
2.3. We may update these Terms at any time. Updated Terms will take effect when posted, and your continued use of the Platform after changes constitutes acceptance.
2.4. If you do not agree to any changes, your sole remedy is to stop using the Platform and close your Account.

3. Eligibility

3.1. Minimum Age. You must be at least 17 years old to create an Account. Users aged 17 may access the Platform but will be restricted from Sensitive Content and from sending/receiving payments until age-verified.

3.2. Verification. We may require identity checks (including government ID and biometric checks) at registration, prior to monetisation, or at any later stage. Unverified Users will have restricted access.

3.3. Authority. By using the Platform, you represent that you are legally capable of entering into contracts in your jurisdiction. If you represent an entity, you warrant you have authority to bind that entity.

3.4. Prohibited Users. You may not use the Platform if you are:

  • under the minimum age,

  • previously suspended or terminated by us,

  • subject to applicable sanctions or restrictions, or

  • otherwise barred by law from accessing such services.

4. Under-Age and Parental Consent

4.1. If we discover that an Account was created by someone under 17 without appropriate parental/guardian consent, the Account will be suspended for 3 months without appeal.

4.2. During suspension, all monetisation and payouts will be frozen. After the suspension period, the Account may be permanently closed at our discretion.

4.3. Any funds accrued in violation of age requirements may be forfeited. We reserve the right to claw back payouts wrongly made.

4.4. We comply with child-protection and privacy laws globally, including GDPR (EU/UK), COPPA (US), and others. Parents or guardians may contact support@fossocial.com to request deletion of a minor’s data.

5. Account Registration & Security

5.1. To use the Platform, you must register for an Account by providing accurate, current, and complete information.

5.2. You must not:

  • create more than one personal Account,

  • impersonate another person,

  • provide false or misleading information,

  • share or sell your Account.

5.3. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your Account.

5.4. If you suspect unauthorised use, you must notify us immediately at security@fossocial.com.

5.5. We may suspend or terminate Accounts for suspected breaches, fraud, or misuse.

6. Sensitive Content

6.1. The following categories are designated as Sensitive Content and may only be accessed by verified adults:

  • Nudity or sexual material

  • Violence or gore

  • Strong or offensive language

  • Content relating to war, abuse, or triggering topics (as determined by us)

6.2. We may label, restrict, or remove Sensitive Content at our discretion.

6.3. You agree not to attempt to bypass age-gating or verification requirements.

6.4. Creators must classify their own Content appropriately when uploading. Misclassification may result in penalties, suspension, or loss of monetisation.

7. Community Guidelines & Prohibited Conduct

7.1. All Users must comply with our Community Guidelines, which prohibit, at minimum:

  • Illegal activities, including incitement, fraud, or exploitation

  • Intellectual property infringement

  • Sexual exploitation or non-consensual content

  • Hate speech, harassment, or abusive behaviour

  • Terrorism, extremism, or violent threats

  • Scams, spam, and deceptive practices

  • Attempts to manipulate rankings, picks, or referrals through bots or fraud

7.2. Breaches of the Community Guidelines may result in warnings, suspension, removal of Content, forfeiture of earnings, or permanent termination.

7.3. We may update the Community Guidelines from time to time and will enforce them at our sole discretion.

7.4. We may remove, restrict, or block access to any Content or Account at any time if we reasonably believe it violates these Terms, poses a risk to safety, security, or legal compliance, or is otherwise harmful to the community or our business interests. We may act with or without prior notice.

7.5. We may label, restrict, or remove Content to address misinformation, harmful or misleading claims, or to comply with applicable laws and regulatory requirements. We may rely on third-party fact-checkers, automated tools, or partners to assist in these decisions.

7.6 Notice Channel. Illegal or infringing content can be reported via abuse@fossocial.com with a URL, description, and legal basis.

7.7 Action & Reasons. Where feasible, we provide a brief statement of reasons for significant moderation actions.

7.8 Appeal. You may appeal removal/suspension once per decision within 14 days; we may prioritise safety and legal compliance over reinstatement.

8. User Content & License

8.1. Ownership. You retain ownership of the Content you upload.

8.2. Licence to FOS Social.By uploading Content, you grant FOS Social a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to host, use, reproduce, adapt, modify, translate, distribute, publicly perform, display, and create derivative works of your Content solely for the purposes of operating, developing, providing, promoting, and improving the Platform and related services. This licence also allows us to use your Content for platform marketing, discovery, recommendations, and other promotional features within FOS Social.This licence ends when your Content is deleted from our systems, except where (a) technical delays or backups require limited retention, (b) copies persist because your Content was shared with or reused by other users, or (c) we are legally required or permitted to retain it for security, compliance, or investigative purposes, as described in Section 24 (Termination & Suspension).

8.3. No Commercial Use Without Consent. We will not sell, license, or reuse your Content outside the Platform without your consent, except where law requires.

8.4. Creator Responsibility. You are solely responsible for the Content you upload, including its legality, accuracy, and classification.

8.5. Publicity. By using the Platform, you authorise us to use your username, profile image, and publicly available Content to promote FOS Social, including in Picks, awards, and discovery feeds.

9. Intellectual Property & Copyright

9.1. Our IP. The Platform and all associated branding, software, and design remain the property of Fos SM Ltd. You may not copy, modify, reverse engineer, or exploit the Platform.

9.2. Third-Party IP. You may not upload Content that infringes the rights of others.

9.3. DMCA & Takedowns. We comply with copyright law, including the DMCA (US) and EU/UK equivalents. Copyright notices should be sent to copyright@fossocial.com (placeholder agent details apply until further notice).

9.4. Repeat Infringers. Accounts with repeated IP violations will be terminated.

10. Monetisation Rules

10.1. Eligibility. Only verified Creators may monetise Content. Verification may require identity checks, bank or wallet setup, and compliance with our standards.

10.2. Revenue Share.

  • Standard: Creators retain 80%, Platform takes 20%.

  • Premium+: Creators receive an additional +1%.

  • Exclusive Content Program: Creators may receive 85%–90%.

  • Picks Boost: Temporary increases of up to +5%.

  • Maximum: Creators may achieve up to 96% share.

10.3. Exclusive Content Program. Creators enrolling must ensure content is uploaded only on FOS Social. Breach may result in loss of perks and clawback of earnings.

10.4. Prohibited Monetisation. You may not monetise illegal, infringing, fraudulent, or misclassified Content.

10A. Creator Sponsorship & Advertising (new section after Section 10)

10A.1. Creator-led model. The Platform does not sell generic ad inventory or run network ads across unrelated Content. Any promotional placement shown with Content (e.g., “Sponsored by …”) reflects a direct Sponsorship between a Sponsor and the relevant Creator.

10A.2. Platform’s role. Except where we explicitly state otherwise in writing, FOS Social is not a party to Sponsorship agreements between Creators and Sponsors. We provide tooling, labels, and placement surfaces, and we may facilitate invoicing/collection as described below.

10A.3. Commission. Where Sponsorship Revenue is billed or collected through the Platform (or where a Sponsor Placement is served through the Platform’s systems), we retain a 30% Commission from Sponsorship Revenue, and the Creator receives 70%, unless a different rate is (i) displayed in-product for the particular placement, or (ii) agreed in writing by FOS Social. Commission does not reduce amounts withheld for taxes, chargebacks, refunds, penalties, or reserves.

10A.4. Billing & collection. We may (but are not obligated to) issue invoices to Sponsors, collect Sponsorship Revenue, apply Commission, and remit Creator shares via the Wallet. If a Sponsor fails to pay, we may cancel placements and have no obligation to advance or guarantee unpaid amounts.

10A.5. Placement & labelling. Sponsor Placements must be clearly disclosed (e.g., “Sponsor,” “Sponsored by …”). Creators must follow applicable disclosure laws and guidance (e.g., FTC/ASA/CAP or local equivalents).

10A.6. Targeting & scope. Sponsor Placements may appear only with the Creator and/or Content that is the subject of the Sponsorship. Sponsors cannot buy generic placements across unrelated creators or Content through the Platform.

10A.7. Content & category restrictions. Sponsorships are subject to the Community Guidelines and any category restrictions we publish (e.g., prohibited goods/services, youth protections, financial promotion rules). We may remove or disable a Sponsor Placement without notice where we reasonably believe there is legal, safety, or policy risk.

10A.8. Creator responsibilities. Creators are responsible for: (a) accurate disclosures; (b) ensuring the Sponsorship does not infringe third-party rights or violate law; (c) securing any necessary approvals/clearances (e.g., talent, music, trademarks); and (d) fulfilling any promised deliverables to Sponsors.

10A.9. Sponsor responsibilities. Sponsors are responsible for the truthfulness and legality of their claims and for providing compliant materials. We may require substantiation and may reject or remove materials that are misleading, unlawful, or non-compliant.

10A.10. Prohibited conduct. No fake or undisclosed Sponsorships, no resale or brokering of Sponsor Placements, and no attempts to route generic network ads through Sponsorship tooling.

10A.11. Enforcement, holds & clawbacks. We may place holds/reserves on Sponsorship Revenue, reverse or claw back payouts, or remove placements where: (a) payment is disputed or reversed; (b) fraud or policy breach is suspected; or (c) a lawful order or regulatory concern arises.

10A.12. No guarantee. We do not guarantee any Sponsorship demand, performance, or outcomes.

11. Payments & Payouts

11.1. Merchant of Record. The Platform acts as the merchant of record for transactions, unless otherwise specified.
11.2. Payment Providers. Payments are processed through approved third-party providers (currently Stripe).
11.3. Currencies. Payments are displayed and processed primarily in EUR, with additional currencies added at our discretion.
11.4. Payouts. Creators may request payouts to their Wallet Cash balance subject to:

  • A bi-weekly payout cadence.

  • A minimum withdrawal amount of €10.

  • A maximum withdrawal amount of €100,000 per payout.

We do not impose a wallet holding cap on Wallet Cash balances.
11.5. Taxes. Creators are solely responsible for reporting and paying their own income or self-employment taxes. We may deduct or collect VAT/GST from users where legally required.
11.6. Funds Handling. Payment service providers (PSPs) such as Stripe and partner banks hold and settle transaction funds. FOS Social maintains ledger records only and does not itself hold customer funds.
11.7. KYC/AML & Sanctions. Payout eligibility requires passing KYC/AML and sanctions screening by us or our PSPs. Failure or subsequent risk flags may result in payout holds or denials.
11.8. Net Settlement Authorisation. You authorise FOS Social and our PSPs to net-settle fees, chargebacks, fines, reserves, and adjustments from your payouts or balances.

12. Refunds & Cancellations

12.1. Subscriptions. All subscriptions auto-renew monthly until cancelled by the user. Cancellation is available in-app or via web.

12.2. Refunds. Subscriptions, one-off content, and donations are non-refundable, except where we determine a scam or fraud occurred.

12.3. No Cooling-Off. EU/UK statutory cooling-off rights are waived to the extent permitted by law, given the nature of digital content.

12.4. Partial Months. Refunds are not prorated. Access continues until the end of the billing cycle.

13. Chargebacks & Fraud

13.1. Responsibility. Creators bear the cost of chargebacks arising from their subscribers or buyers.

13.2. Offset Rights. We may offset chargeback amounts, fines, or penalties from future Creator payouts.

13.3. Platform Discretion. If chargebacks exceed acceptable levels, we may suspend monetisation, impose reserves, or terminate Accounts.

13.4. Fraudulent Activity. Any attempt to artificially generate earnings, including through self-referrals, bots, or duplicate accounts, will result in forfeiture of all rewards and possible legal action.

14. Fees & Pricing

14.1. Service Fees. We may charge fees on transactions, subscriptions, or other features, as published on the Platform.

14.2. Changes. Fees and pricing may change at any time, with notice provided where required by law.

14.3. Promotions. Discounts, referral cashback, and promotional credits are funded by the Platform and may be withdrawn or altered at our discretion.

14.4. No Entitlement. Users and Creators have no vested right to any fee, bonus, or promotion.

14.5. Sponsorship Commission. For Sponsor Placements fulfilled or served via the Platform, FOS Social retains a 30% Commission from Sponsorship Revenue, unless a different rate is shown in-product or agreed in writing by FOS Social. Commission may be changed prospectively with notice where required by law.

15. Exclusive Content Program

15.1. Definition. “Exclusive Content” means Content uploaded solely to FOS Social and not cross-posted elsewhere.

15.2. Revenue Share. Exclusive Content earns Creators a higher revenue share (85%–90%).

15.3. Eligibility. Participation is limited and may require application or approval.

15.4. Permanence. If a Creator locks into 90% through early enrolment, the rate is permanent for that Account. Accounts are tied to verified ID and may not be sold or transferred.

15.5. Breach. Uploading Exclusive Content elsewhere voids the perks and may trigger clawback of payouts.

16. Picks Program

16. Picks Program
16.1. Free Picks. Each User receives one free daily Pick per content type. A free Pick must be used within 24 hours; it does not accumulate if unused.

16.2. Paid Picks. Users may buy Pick packs currently priced at:

  • €5.99 for 3 Picks

  • €19.99 for 10 Picks

  • €39.99 for 20 Picks

  • €150 (50% off) for 100 Picks

16.3. Payment Methods. Picks can be purchased only using Wallet Cash. Wallet Credits cannot be used to purchase Picks.

16.4. Expiry Rules. Picks purchased with Wallet Cash do not expire.

16.5. Voting & Rewards. Picks accumulate toward weekly and monthly awards, including profit boosts and promotional incentives.

16.6. Service Errors. If a service error occurs (for example, a vote fails to register), we may issue a replacement Pick at our discretion.

16.7. Tie-Breakers. In the event of a tie, the winner is determined first by most unique voters, then by earliest timestamp.

16.8. Anti-Cheat. Bots, duplicate accounts, and fraudulent voting are prohibited. We may disqualify participants and void Picks if abuse is detected.

16.9. Publicity. Winners agree that their usernames, likeness, and Content may be displayed publicly in-app and for promotional purposes.

16.10. Name & Likeness in Promotions. You grant us permission to use your name, profile image, and activity (such as likes, follows, votes, or awards) in connection with promotions, recommendations, and sponsored content on FOS Social, without compensation, in accordance with your privacy settings.

16.11. Nature of Picks. Picks are expression-based votes to recognise creator merit; they do not confer monetary rewards to voters and involve no element of chance.

16.12. Compliance. FOS Social may adjust, suspend, or void Picks where we identify manipulation, regulatory concerns, or unlawful conduct.

17. Referral Program

17.1. Codes. Creators may generate referral codes for Invite & Earn.

17.2. Discounts. Default subscriber discount options are 5%–20%, with Creators choosing within that range.

17.3. Cashback. Referral rewards are platform-funded and may include cashback or credits.

17.4. Limits. Invite & Earn codes are valid for 30 days and redeemable up to 5 times.

17.5. Milestone Rewards. At milestones (e.g., 50 users + 2,000 points), bonus payouts may apply. Points are earned when referred users complete specific tasks (e.g., liking posts).

17.6. Anti-Fraud. No self-referrals, duplicate accounts, or abuse. We may withhold, revoke, or claw back referral rewards.

18. Wallet & Promotion Credits

18. Wallet & Promotion Credits

18.1. Wallet Function. The Wallet acts as a ledger of balances and transactions. It is not a bank account or e-money instrument.

18.2. Wallet Cash. Wallet Cash represents withdrawable funds earned through monetisation and may be withdrawn subject to payout conditions.

18.3. Wallet Credits. Wallet Credits are non-withdrawable, platform-issued balances that may be used only for promotions, Randoms, or other non-cash platform features. They cannot be used to purchase Picks.

18.4. Ordering & Display. Wallet Cash and Wallet Credits will be displayed separately within your account dashboard. Transactions will always prioritise Wallet Credits where applicable.

18.5. Dormancy. We may close dormant accounts after a defined period of inactivity. Any remaining Wallet Cash balance will be paid out (minus applicable fees), and Wallet Credits will expire.

19. Promotions & Bonuses

19.1 FOS Social may offer bonus schemes, discounts, or incentives from time to time.

19.2. No Entitlement. Participation in promotions is voluntary and subject to eligibility.

19.3. Withdrawal. We may amend or terminate promotions at any time without liability.

19.4. Abuse. Any manipulation of promotions will result in forfeiture of rewards.

19.5. Awards & Prizes. Badges, trophies, and physical awards issued by FOS Social are non-cash, non-transferable, and non-redeemable for monetary value. Physical awards may be engraved or personalised with the recipient’s username and the date of achievement.

Any deliberate act of destroying, vandalising, altering, or damaging a physical award without our prior written consent will result in account suspension and demonetisation for a period of 3 to 6 months.

20. Liability 

20.1. Intermediary Role. We are a facilitator between Users. We are not responsible for the actions, content, or promises of Creators or Subscribers.

20.1A Creator–Subscriber Transactions. Monetised Content, subscriptions, one-off purchases, donations, discounts, referral benefits, and any Creator promises (e.g., messages, drops, perks) constitute a separate agreement between the relevant Users. FOS Social is not a party to those agreements and disclaims any responsibility for performance, quality, fitness, timeliness, or outcomes. Your exclusive remedy for disputes arising from such agreements is against the counterparty User, not FOS Social, except where non-waivable law requires otherwise.

20.1B Sponsorship deals. Sponsorships are agreements between the relevant Creator and Sponsor. Except where we expressly agree otherwise in writing, FOS Social is not a party to those agreements and disclaims responsibility for any Sponsor claims, deliverables, or performance, consistent with Sections 20.1 and 20.1A.

20.2. Disclaimer of Warranties. The Platform and Service are provided “as is” and “as available” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

20.3. Limitation of Liability. To the maximum extent permitted by law, we are not responsible for the conduct, Content, or services of Users or third parties, and we disclaim liability for:
(a) loss of data, profits, revenues, or reputation;
(b) offensive, unlawful, or harmful Content;
(c) unauthorised access to or use of Accounts;
(d) disputes between Users; or
(e) service interruptions, bugs, or delays.

20.4. Cap. Any liability we do not disclaim is capped at the greater of €100 or the amounts you paid us in the 3 months before the claim.

21. Disclaimers Specific to Monetisation

21.1. Earnings Not Guaranteed. FOS Social does not guarantee that any Creator will achieve revenue or audience growth.

21.2. Program Availability. Exclusive, Picks, Referral, and Premium+ programs may be modified or discontinued by FOS Social at any time.

21.3. Chargebacks and Refunds. Creators bear responsibility for losses from chargebacks, subscriber refunds, or fraud.

21.4. User Disputes. We are not liable for promises Creators make in subscription tiers (e.g., “weekly messages”). These are between the Creator and Subscriber.

22. Privacy & Data Protection

22.1. Privacy Policy. Use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms.

22.2. Data Rights. Users have rights under applicable laws (GDPR, CCPA, PIPEDA, PDPA, etc.), including rights of access, correction, deletion, and portability. Requests may be directed to support@fossocial.com.

22.3. Children’s Data. Accounts created under 17 without proper consent will be suspended or terminated, and personal data may be deleted.

22.4. Cookies & Tracking. Web use is subject to our Cookie Policy and applicable consent rules.

22.5. Sub-Processors. Data may be processed by third parties, including AWS (hosting), Stripe (payments), and email/analytics providers.

22.6. Cross-Border Processing. To operate our global services, you agree that your Content and data may be transferred, stored, and processed outside your country of residence, including in jurisdictions with different data protection laws. These transfers are essential to providing the Platform.

23. Compliance with Law

23.1. You must comply with all applicable laws when using the Platform, including but not limited to:

  • GDPR and UK Data Protection Act,

  • CCPA/CPRA (California),

  • PIPEDA (Canada),

  • PDPA (Singapore),

  • COPPA (USA, children’s data), and

  • any local financial, advertising, or consumer laws.

23.2. You are solely responsible for ensuring that your Content and activities comply with applicable law.

23.3. We may remove Content, suspend Accounts, or report activity to regulators where legally required.

24. Termination & Suspension

24.1. Our Rights. We may suspend or terminate your Account at any time, without liability, if you:

  • violate these Terms or our Community Guidelines,

  • commit fraud or abuse,

  • infringe intellectual property,

  • fail to verify your identity,

  • engage in unlawful or harmful activity.

24.2. User Rights. You may terminate your Account at any time through the settings menu.

24.3. Effect. Termination results in loss of access, forfeiture of promotional credits, and possible withholding of funds where fraud or breach occurred.

24.3A. Data Retention After Deletion. When you delete Content or close your Account, deletion may take up to 90 days. Copies may persist in backup systems for a longer period. We may also retain Content where deletion is delayed by technical limitations, where Content has been shared with others, or where we are required to retain it for legal, regulatory, security, or investigative purposes.

24.4. Survival. Sections relating to ownership, liability, IP, and governing law survive termination.

25. Dispute Resolution & Governing Law

25.1 Governing Law. These Terms and any dispute, claim, or controversy arising out of or relating to them or the Platform (“Dispute”) are governed by the laws of England and Wales, without regard to conflict-of-law rules. Mandatory consumer protections of your country of residence may apply where required by law.

25.2 Informal Resolution (Mandatory). Before starting any arbitration or court action, the complaining party must send a written Notice of Dispute to legal@fossocial.com describing the claim and requested relief. Both parties will work in good faith for 30 days to resolve it. This is a condition precedent to filing.

25.3 Binding Arbitration (United States residents). If you reside in the United States, any Dispute not resolved under Section 25.2 shall be resolved by binding arbitration administered by AAA under its Consumer Arbitration Rules (or JAMS under its Consumer Arbitration Minimum Standards, if AAA unavailable). Seat: your county of residence or remote/virtual by default; language: English; one arbitrator. The arbitrator has exclusive authority to resolve disputes about arbitrability and the scope, enforceability, or formation of this clause (the “Delegation Clause”).

25.3A Fees. FOS Social will pay arbitration filing/administrative fees to the extent required by the AAA/JAMS consumer rules.

25.3B Class Waiver. Proceedings are individual only; no class, collective, consolidated, coordinated, or representative actions or arbitrations.

25.3C Mass-Arbitration Protocol. Where 25 or more substantially similar demands are filed by the same or coordinated counsel within 90 days, the parties agree to (i) stage 10 bellwether cases first; (ii) toll limitations for the remainder; (iii) after awards in bellwethers, confer in good faith on resolution or additional staged batches; and (iv) the arbitrator/administrator may stay non-bellwethers.

25.3D Severability (Disputes). If 25.3C or 25.3B is found unenforceable, the remainder of Section 25 remains in force; if the class waiver is unenforceable as to a particular claim, that claim must be severed and litigated in court, while the remaining claims are arbitrated

25.4 A. App Stores & Third-Party Platforms. If you purchase via Apple App Store or Google Play, those platforms’ billing rules, refunds, and dispute processes apply and may override these Terms for that transaction. FOS Social is not responsible for store fees, decisions, or timelines.

Notices are deemed received when sent to the above addresses or published on the Platform.

27. Miscellaneous

27.1. Entire Agreement. These Terms and incorporated policies form the entire agreement between you and FOS Social.

27.2. Assignment. You may not assign or transfer your rights under these Terms. We may assign without restriction.

27.3. Severability. If any provision is invalid, the remainder remains enforceable.

27.4. Waiver. Failure to enforce a right does not waive it.

27.5. Force Majeure. We are not liable for events beyond our control (e.g., natural disasters, network outages, regulatory actions).

28. Interpretation

28.1. Headings are for convenience only and do not affect interpretation.

28.2. “Including” means “including without limitation.”

28.3. Singular includes plural, and vice versa.

29. Language & Updates

29.1. These Terms are written in English. Translations may be provided, but the English version controls.

29.2. Updates to these Terms will be notified through the Platform. Continued use after updates constitutes acceptance.

30. Final Provisions

30.1. Survival. Sections on intellectual property, liability, dispute resolution, and payments survive termination.

30.2. Acknowledgment. By using FOS Social, you confirm that you have read, understood, and accepted these Terms.

30.3. Effective Date. These Terms are effective as of 1st October 2025.
